The Central Bank is preparing changes to the conduct of general meetings of shareholders.

The Central Bank of the Russian Federation (CBRF) has published a draft of a new Regulation on the Requirements for Preparing and Holding General Shareholders' Meetings (GSM).

The document adapts the rules to the extensive changes to the laws on joint-stock companies (JSCs) and limited liability companies (LLCs) adopted in 2025.

Among the key innovations are detailed regulations for fully remote meetings, where participant identification and recording of communication failures become mandatory procedures.

The draft also requires top management to attend meetings, standardizes the rules for submitting shareholder proposals, and expands the list of meeting materials (including an assessment of the consequences of the reorganization).

Particular attention is paid to actions in the event of force majeure: if a meeting is disrupted due to external reasons, a clear procedure for holding a repeat meeting is established.

Conclusion:

Once the document comes into effect (scheduled for July 1, 2027), a major update of the company's internal documents will be required to comply with the new standards for remote interaction with shareholders.
